1. Services Overview

Praetors Medical Billing provides medical billing and revenue cycle management (RCM) services, including but not limited to:
Patient registration and insurance verification
Medical coding (ICD-10, CPT, HCPCS)
Claims submission and tracking
Denial management and appeals
Payment posting and reconciliation
Financial reporting and analytics
All services are provided in accordance with applicable U.S. laws and healthcare regulations.

2. Eligibility and Use

By using our services, you confirm that:
You are authorized to act on behalf of a healthcare provider or organization
All information provided to us is accurate and complete
You will comply with all applicable laws and regulations
Unauthorized use of our services is strictly prohibited.

3. HIPAA Compliance and Responsibilities

Praetors Medical Billing operates as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA).
A Business Associate Agreement (BAA) must be executed before handling Protected Health Information (PHI)
Clients (“Covered Entities”) are responsible for obtaining patient consent where required
Both parties agree to comply with HIPAA privacy and security rules
We implement appropriate safeguards; however, clients are responsible for ensuring lawful data sharing.

4. Client Responsibilities

Clients agree to:
Provide accurate and timely patient and billing information
Ensure compliance with payer and regulatory requirements
Review submitted claims and reports
Respond promptly to requests for additional information
Praetors Medical Billing is not responsible for delays caused by incomplete or inaccurate data provided by clients.

5. Fees and Payment Terms

Fees for services will be defined in a separate agreement or contract
Payment may be structured as a percentage of collections, fixed fee, or custom pricing
Invoices must be paid within the agreed timeframe
Late payments may result in service suspension or additional charges

6. Data Security and Confidentiality

We maintain strict confidentiality and implement industry-standard safeguards to protect sensitive data, including PHI. All employees, contractors, and subcontractors are bound by confidentiality obligations and trained in data protection protocols.

7. Use of Subcontractors

Praetors Medical Billing may utilize qualified subcontractors and offshore teams to deliver services efficiently. All subcontractors:
Operate under strict confidentiality agreements
Comply with HIPAA and data protection requirements
Are monitored to ensure quality and security standards

8. Limitation of Liability

To the fullest extent permitted by law:
Praetors Medical Billing shall not be liable for indirect, incidental, or consequential damages
We do not guarantee reimbursement amounts or payer decisions
Liability is limited to the amount paid for services within a defined period
Billing outcomes may vary based on payer policies, documentation quality, and regulatory factors beyond our control.

9. Service Availability

We strive to provide uninterrupted services; however, we do not guarantee that services will always be available without interruption due to:
System maintenance
Technical issues
External factors beyond our control

10. Intellectual Property

All content, systems, processes, and materials provided by Praetors Medical Billing remain the intellectual property of the Company unless otherwise agreed. Clients may not copy, reproduce, or distribute proprietary materials without written consent.

11. Termination

Either party may terminate services based on the terms outlined in the service agreement. Upon termination:
All outstanding payments become due
Access to systems may be revoked
Data handling will follow agreed contractual and legal requirements

12. Indemnification

Clients agree to indemnify and hold harmless Praetors Medical Billing from any claims, damages, or liabilities arising from:
Inaccurate or incomplete information provided by the client
Non-compliance with laws or regulations
Misuse of services

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.

14. Changes to Terms

We reserve the right to update or modify these Terms at any time. Updated Terms will be posted on our website with the revised effective date.
